Effective 2026

Three ACRA changes that affect new incorporations and ongoing filings.

  • Register of Registrable Controllers (RORC) at incorporation. Since 16 June 2025, every newly incorporated Pte Ltd (and registered foreign company / LLP) must lodge RORC details with ACRA on the date of incorporation. The register captures every individual holding 25% or more of shares or voting rights, or who otherwise has significant control over the entity. Any change to a controller’s particulars must be lodged with ACRA within 2 business days; non-compliance carries a fine of up to S$25,000. ACRA RORC →
  • Annual Return fee unchanged. The ACRA Annual Return filing fee remains at S$60 for private companies. Late-lodgement penalties continue at S$300 per breach.
  • Fully digital incorporation flow. ACRA accepts e-signed Constitution documents and supporting consents via BizFile+ under Singapore’s Electronic Transactions Act framework. Asprin runs an audit-logged e-signature flow for every incorporation, with no physical originals required.

Eligibility

Do I need to be in Singapore to incorporate?
No. We can incorporate fully remotely with electronically signed Constitution documents.
Do I need a Singapore resident director?
Yes. The Companies Act requires every Singapore Pte Ltd to have at least one director who is ordinarily resident in Singapore.
Can I incorporate with foreign shareholders?
Yes. 100% foreign shareholding is permitted.

Process

How long does the bank account actually take?
Once we make the introduction and you complete KYC, OCBC and UOB typically open accounts in 5–10 working days. DBS is usually 7–14 days. Heads-up: banks have been tightening their KYC checks year on year to comply with AML / CFT regulations, so processing can sometimes take significantly longer than the quoted ranges. Account opening is entirely subject to the bank’s own approval process.
What if my preferred company name is rejected?
During the information-gathering phase, we’ll ask you to provide one preferred name and two alternatives. We check availability against ACRA’s name database and advise you on each before any incorporation filing goes in. If all three are unavailable, we keep checking new options with you until one you’re happy with is approved — at no additional professional fee.
What is the UEN and when is it assigned?
UEN (Unique Entity Number) is ACRA’s standard identifier assigned to every Singapore-registered entity at incorporation. It stays with the company for its lifetime and is used across all government touchpoints — tax filings, work pass applications, GST returns, bank KYC and so on. Format is normally 9 or 10 characters (e.g. 202012345A).

Are ACRA government fees included?
Yes — ACRA fees are automatically bundled into your Lean or Standard package on add-to-cart. The S$315 total (S$15 name application + S$300 incorporation fee) appears as a separate line in your cart and on the invoice. We pass through this cost to you at no mark-up at all, and prices will be transparent to you during check-out and on our invoices.
What’s the difference between Lean and Standard?
Lean (S$199, originally S$350) is the economical filing-and-go tier for local set-ups — up to 2 shareholders and 2 directors, with ACRA name reservation & filing, standard Constitution, 12-month corporate secretarial retainer and First AGM & Annual Return filing all bundled. Standard (S$489, originally S$850) steps up for foreigners or corporate shareholding situations — up to 5 shareholders / 5 directors — and adds bank introduction (OCBC / DBS / UOB) plus Corppass set-up assistance for one director on top of everything Lean includes.
When should I pick Advisory instead?
Advisory (from S$999) is the full-suite tier — up to 50 shareholders and 10 directors, with everything Standard includes plus a custom-drafted Constitution, nominee director (12 months), ESOP scheme & pool set-up, multi-class share structuring and Corppass set-up for all directors. Typical Advisory cases: regional HQ / cross-border holding structures, single-family offices with multi-class share governance, ESOP at incorporation, and any cap table beyond 5 shareholders or with layered shareholding.

Compliance

When are the AGM and Annual Return due each year?
For Singapore private companies, the AGM must be held within 6 months of the financial year end (or the company may opt for the Section 175A written-resolution exemption where all members agree and financial statements are sent within 5 months of FYE). The Annual Return is filed with ACRA via BizFile+ within 7 months of FYE. The Annual Return filing fee is S$60 per filing; late lodgement carries a S$300 fixed penalty per breach. What is the minimum paid-up capital?
S$1 per shareholder. Most founders capitalise at S$1,000 to S$10,000 for clean cap-table arithmetic.
Do I need GST registration when incorporating?
Compulsory GST registration kicks in when your taxable turnover exceeds S$1,000,000 — either retrospectively (looking back at the past calendar year) or prospectively (reasonable grounds to expect the threshold will be crossed in the next 12 months). You must apply to IRAS within 30 days of forming that belief or of the calendar-year crossing; late registration carries penalties of up to S$10,000 plus back-GST liability. From April 2026, all new GST registrants must use InvoiceNow-compatible accounting software (Peppol e-invoicing network). What if X

Can I change the company name after incorporation?
Yes. A company may apply for a name change with ACRA after obtaining a special resolution passed by 75% of shareholders. The proposed new company name is subjected to availability and approval by ACRA.
What is a Nominee Director and when do I need one?
A Singapore resident — typically a citizen, PR, or eligible work-pass holder — appointed to satisfy the Companies Act resident-director requirement when no founder qualifies. Our nominee director service starts from S$1,500 a year (refundable deposit required) and covers statutory presence only — the nominee holds no operational, signing or banking role. Founders typically use this for the first 12 months while their own work pass is approved.

Private Pte Ltds can be exempted from holding an AGM (Section 175A) where all members pass a written resolution and financial statements are sent within 5 months of FYE.
